1. Agreement to Terms

Welcome to LipaflowTech. These Terms of Service ("Terms") govern your access to and use of the LipaflowTech invoicing and eTIMS compliance platform ("Service"), including any websites, mobile applications, and software associated with the Service.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Definitions

"Service" refers to the LipaflowTech invoicing and eTIMS compliance platform accessible via web browser
"User," "You," or "Your" refers to the individual or business entity accessing or using the Service
"Account" means a unique account created for you to access our Service
"Content" refers to all data, text, images, and other materials you upload or generate using the Service
"eTIMS" refers to the Kenya Revenue Authority's Electronic Tax Invoice Management System
"KRA" refers to the Kenya Revenue Authority

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach
Ensuring your account information is accurate and up-to-date

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with any of the provisions of these Terms.

4. Service Description

LipaflowTech provides an online platform for:

Creating and managing professional invoices
Generating eTIMS-compliant tax invoices and receipts
Tracking VAT and tax obligations
Managing customer and payment information
Generating financial reports and analytics
Facilitating KRA compliance and audit readiness

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

5. User Responsibilities and Conduct

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service in any way that violates any applicable local, national, or international law or regulation
Use the Service for any fraudulent or illegal purpose
Attempt to gain unauthorized access to the Service or its related systems
Interfere with or disrupt the integrity or performance of the Service
Upload or transmit any viruses, malware, or other harmful code
Harvest or collect user information without consent
Use the Service to generate false or fraudulent invoices or tax records

5.2 Data Accuracy

You are solely responsible for the accuracy and completeness of all data entered into the Service, including:

Customer information and contact details
Invoice and transaction data
Tax calculations and VAT amounts
KRA PIN and business registration information

6. eTIMS and Tax Compliance

6.1 eTIMS Integration

The Service includes features designed to help you comply with KRA's eTIMS requirements. However:

You acknowledge that ultimate responsibility for tax compliance rests with you
We do not guarantee that use of the Service will result in full KRA compliance
You should verify all eTIMS submissions and tax calculations independently
We are not responsible for any penalties or fines imposed by KRA

6.2 Tax Advice Disclaimer

LipaflowTech does not provide tax, legal, or accounting advice. The Service is designed to facilitate invoicing and tax record-keeping, but you should consult with qualified professionals for tax and legal advice specific to your situation.

7. Payment and Subscription Terms

7.1 Fees and Billing

Certain features of the Service may require payment of fees. You agree to:

Pay all applicable fees as described on our pricing page
Provide valid payment information
Authorize us to charge your payment method for all applicable fees
Keep your payment information current and accurate

7.2 Subscription Terms

Subscriptions automatically renew unless cancelled. You may cancel your subscription at any time, but no refunds will be provided for partial months.

7.3 Free Trial

We may offer a free trial period for new users. At the end of the trial period, you will be automatically converted to a paid subscription unless you cancel before the trial ends.

8. Intellectual Property

8.1 Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of LipaflowTech and its licensors. The Service is protected by copyright, trademark, and other laws of Kenya and foreign countries.

8.2 Your Content

You retain ownership of any content you create, upload, or store in the Service. By using the Service, you grant us a license to use, store, and process your content solely for the purpose of providing and improving the Service.

8.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to compensate you.

9. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as detailed in our Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall LipaflowTech, its directors, employees, partners, agents, suppliers, or affiliates be liable for:

Any indirect, incidental, special, consequential, or punitive damages
Any loss of profits, revenue, data, or business opportunities
Any damages arising from tax penalties, fines, or compliance issues
Any damages resulting from unauthorized access to your data

Our total liability for any claims under these Terms shall not exceed the amount you paid us for the Service during the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless LipaflowTech and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney's fees) arising from:

Your use of and access to the Service
Your violation of any term of these Terms
Your violation of any third-party right, including privacy or intellectual property rights
Any claim that your content caused damage to a third party
Any tax compliance issues or disputes with KRA

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in the Service.

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

Breach of these Terms
Fraudulent or illegal activity
Non-payment of fees
Extended periods of inactivity

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 of Kenya.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree to the new terms, please stop using the Service.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and LipaflowTech regarding the Service and supersede all prior agreements, understandings, and representations.
